TERMS AND CONDITIONS

Effective Date: June 1, 2025

These Terms and Conditions are a legally binding agreement between you and Modular Target Systems L.L.C., a Georgia limited liability company with a mailing address at 222 Huddersfield Drive, Simpsonville, South Carolina 29681, referred to in these Terms as "MTS," "we," "us," or "our."

These Terms govern your access to and use of any website, online storefront, content, product, service, quote, invoice, or other sales channel operated by MTS, collectively referred to as the "Site," and your purchase, possession, resale, or use of products sold by MTS.

Please read these Terms carefully. By accessing the Site, creating an account, submitting an order, accepting a quote, checking an acceptance box, or purchasing or using an MTS product, you acknowledge that you have read, understood, and agreed to these Terms.

If you do not agree to these Terms, do not access the Site, place an order, or use an MTS product.

1. Eligibility

You must be at least 18 years old and have reached the legal age of majority in your jurisdiction to place an order or enter into an agreement with MTS.

By placing an order on behalf of a company, dealer, organization, agency, or other legal entity, you represent that you have authority to bind that entity to these Terms.

MTS products may be used by a minor only under the direct, continuous supervision of a responsible adult who is legally permitted and properly qualified to supervise the applicable firearm training activity.

2. Important Firearm Safety Notice

MTS products are intended solely as visual, modular, or physical aids for lawful dry-fire training.

MTS PRODUCTS ARE NOT LIVE-FIRE TARGETS, BALLISTIC PRODUCTS, BULLET TRAPS, ARMOR, SAFETY DEVICES, OR SUBSTITUTES FOR PROPER FIREARM TRAINING.

You must never fire live ammunition, blank cartridges, marking cartridges, pellets, BBs, airgun ammunition, airsoft projectiles, arrows, bolts, or any other projectile at or near an MTS product.

Before beginning any dry-fire activity, you must:

  1. Remove all live ammunition from the firearm.

  2. Remove all live ammunition from the training area.

  3. Remove the magazine, open the action, and visually and physically verify that the firearm is unloaded.

  4. Maintain the firearm in a safe direction at all times.

  5. Follow all firearm manufacturer instructions and the fundamental rules of firearm safety.

  6. Prevent unauthorized persons, children, pets, and bystanders from entering the training area.

  7. Use only equipment and training methods that are lawful and appropriate for your firearm.

  8. Stop immediately if you are uncertain whether the firearm is unloaded or whether the training environment is safe.

You are solely responsible for the safe handling, storage, supervision, and use of every firearm and related item in your possession.

MTS does not provide firearms instruction, legal advice, professional safety certification, or confirmation that any particular training method is safe or appropriate for your circumstances.

3. Product Inspection and Safe Setup

You must inspect each product, mount, attachment, fastener, magnet, stand, and related component before every use.

Do not use any component that is cracked, deformed, loose, unstable, excessively worn, improperly assembled, or otherwise damaged. Discontinue use immediately if a component becomes damaged or unstable.

Products must be installed on stable surfaces and assembled according to any instructions supplied by MTS. The user is responsible for ensuring that stands and mounted products cannot fall, tip, collapse, or create a tripping or impact hazard.

Some MTS products may contain strong magnets or small components. Keep these items away from young children and pets. Loose or damaged magnets may present swallowing, pinching, electronic-equipment, or medical-device hazards. Swallowed magnets require immediate medical attention. Individuals with pacemakers or other implanted medical devices should follow the device manufacturer's guidance concerning strong magnets.

4. Lawful Use

You may use MTS products only for lawful purposes and in compliance with all applicable federal, state, local, and international laws, regulations, ordinances, range rules, and firearm-safety requirements.

You may not use an MTS product:

  1. In connection with unlawful activity.

  2. In a manner that endangers another person or property.

  3. For live-fire, projectile, explosive, destructive, or impact testing.

  4. In violation of a firearm manufacturer's instructions.

  5. After the product has become damaged or unsafe.

  6. In a manner inconsistent with its product description or supplied instructions.

  7. To represent that MTS has approved, certified, or endorsed a training course, instructor, facility, firearm, or organization without written authorization from MTS.

5. Orders and Acceptance

Your submission of an order constitutes an offer to purchase the listed products under these Terms.

An automated order confirmation only confirms that MTS received your order. It does not guarantee acceptance, availability, or shipment.

MTS may accept, reject, limit, or cancel an order for legitimate business reasons, including:

  1. Product unavailability.

  2. Pricing or listing errors.

  3. Suspected fraud or unauthorized payment.

  4. Shipping restrictions.

  5. Incomplete or inaccurate customer information.

  6. Suspected unlawful use or resale.

  7. Quantity limitations.

  8. A customer's previous violation of these Terms.

If MTS cancels an order after payment has been collected, MTS will refund the amount collected for the canceled portion of the order to the original payment method, except where a different method is required by law or agreed to by the customer.

MTS is the seller of record for products purchased directly from MTS unless a written invoice or agreement expressly states otherwise. MTS may use contract manufacturers, fulfillment providers, carriers, and other service providers. The appearance of another company as the shipper on a shipping label does not change the identity of the seller of record.

6. Pricing, Payment, and Taxes

Prices are displayed in the currency identified during checkout and may change without notice. A price change will not affect an order already accepted by MTS unless the displayed price resulted from an obvious error.

You authorize MTS and its payment processors to charge the payment method provided for the full amount shown during checkout, including product charges, shipping, handling, taxes, duties, and other disclosed charges.

You are responsible for providing complete and accurate billing, payment, contact, and shipping information.

You are responsible for all sales, use, excise, import, customs, value-added, and similar taxes or charges associated with your purchase, except taxes imposed directly on MTS's net income.

Dealer and wholesale purchasers must provide any applicable and valid resale certificate or tax-exemption documentation before the order is processed. MTS may collect taxes when acceptable documentation has not been provided.

7. Order Cancellations

To request an order cancellation, email contact@modulartargetsystems.com as soon as possible and include your name and order number.

MTS will make reasonable efforts to honor a cancellation request received before the order enters production, processing, packing, or fulfillment. Cancellation is not guaranteed.

Once an order has entered production, processing, packing, or fulfillment, it cannot be canceled unless MTS agrees otherwise in writing.

If MTS approves a cancellation, any applicable refund will be issued to the original payment method. MTS is not responsible for processing delays imposed by banks, card issuers, payment processors, or other financial institutions.

Nothing in this section limits a cancellation or refund right that cannot legally be waived.

8. Shipping and Delivery

Processing, fulfillment, shipment, and delivery dates are estimates unless MTS expressly identifies a date as guaranteed in writing.

MTS is not responsible for carrier delays, customs delays, adverse weather, natural disasters, labor disruptions, transportation interruptions, inaccurate addresses, or other circumstances outside MTS's reasonable control.

If MTS cannot ship an order within the time stated when the order was placed, or within the period required by applicable law when no shipment time was stated, MTS will provide any notice, cancellation option, or refund required by law.

You are responsible for reviewing and confirming the shipping address before submitting an order. MTS does not guarantee that an address can be changed after an order is submitted.

For retail orders, risk of loss passes to the customer when the carrier records the shipment as delivered to the address supplied by the customer.

For dealer and wholesale orders, risk of loss passes to the purchaser when MTS delivers the shipment to the carrier, unless a written quote, invoice, or dealer agreement expressly provides otherwise.

9. Lost, Damaged, Missing, or Stolen Shipments

If a shipment is lost, damaged, incomplete, delivered to the wrong location, or marked as delivered but cannot be located, you must promptly:

  1. Email contact@modulartargetsystems.com.

  2. Contact the applicable shipping carrier, including UPS, USPS, FedEx, or another listed carrier.

  3. Preserve all packaging, shipping labels, photographs, tracking information, and damaged products.

  4. Provide any documentation reasonably requested by MTS or the carrier.

  5. Cooperate with any carrier claim, insurance claim, delivery investigation, or fraud investigation.

MTS may assist with a carrier claim or investigation, but assistance does not guarantee a replacement, refund, or credit.

MTS is not responsible for theft, loss, misdelivery, or damage occurring after a carrier records a retail shipment as delivered, except to the extent required by applicable law.

MTS may require a police report, carrier case number, signed statement, photographs, proof of address, or other reasonable documentation before considering assistance for a shipment reported stolen or missing after delivery.

10. Final Sale and No-Return Policy

ALL SALES ARE FINAL.

MTS does not accept returns or exchanges for buyer's remorse, accidental orders, changed preferences, product compatibility, color variations, cosmetic characteristics, improper use, or any other reason not expressly approved by MTS in writing.

Do not send a product back to MTS without prior written authorization. Unauthorized returns may be refused, returned to the sender, or held pending payment of additional shipping charges.

If you receive an incorrect item, a shipment damaged in transit, or a product that is materially defective upon arrival, email contact@modulartargetsystems.com promptly with your order number, a description of the issue, and clear photographs.

MTS may, at its sole discretion and subject to applicable law, provide troubleshooting assistance, replacement components, a replacement product, store credit, repair assistance, or a refund. Providing assistance in one instance does not create a warranty, continuing obligation, or right to the same remedy in another instance.

This final-sale policy does not limit any return, rejection, cancellation, refund, or other remedy that cannot legally be waived.

11. Product Descriptions and Manufacturing Variations

MTS attempts to describe and display its products accurately. However, photographs, renderings, colors, scale, textures, measurements, and other visual representations may vary depending on lighting, display settings, production method, material batch, or manufacturing process.

Certain MTS products may be additively manufactured or 3D printed. Normal manufacturing characteristics may include visible layer lines, seams, surface variation, minor dimensional variation, slight color variation, witness marks, or other cosmetic differences. These normal characteristics are not defects and do not affect the product's intended dry-fire training function.

MTS may make non-material changes to a product's design, material, component source, packaging, or manufacturing method without notice.

MTS does not guarantee compatibility with every firearm, accessory, mounting system, training environment, or third-party product unless that compatibility is expressly stated in the applicable product description.

12. No Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, PRODUCTS, CONTENT, INFORMATION, AND CUSTOMER ASSISTANCE ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS."

MTS PROVIDES NO EXPRESS OR IMPLIED WARRANTY AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, COMPATIBILITY, AND QUIET ENJOYMENT.

MTS DOES NOT WARRANT THAT A PRODUCT WILL MEET YOUR PARTICULAR REQUIREMENTS, ACHIEVE A PARTICULAR TRAINING RESULT, REMAIN AVAILABLE, OPERATE WITHOUT INTERRUPTION, OR BE COMPATIBLE WITH A PARTICULAR FIREARM, ACCESSORY, SOFTWARE, LASER SYSTEM, MOUNT, STAND, OR TRAINING METHOD.

No oral statement, informal communication, customer-service response, troubleshooting assistance, photograph, sample, demonstration, or recommendation creates a warranty.

Any voluntary assistance provided by MTS is a customer-service courtesy and does not establish a warranty or obligation to repair, replace, refund, or provide future assistance.

This disclaimer does not exclude an express obligation or implied warranty that applicable law does not permit MTS to disclaim. Where an implied warranty cannot legally be excluded, it is limited to the minimum scope and duration required by law.

13. Dealer and Wholesale Purchases

This section applies to dealers, distributors, resellers, commercial purchasers, agencies, instructors, ranges, and other wholesale customers.

Unless a signed dealer agreement, accepted quote, or MTS invoice states otherwise:

  1. All dealer and wholesale sales are final.

  2. Orders are subject to product availability and MTS approval.

  3. Dealer and wholesale customers are responsible for determining product suitability before ordering.

  4. The purchaser is responsible for obtaining all licenses, registrations, permits, resale certificates, and approvals needed to purchase, advertise, possess, import, export, distribute, or resell the products.

  5. The purchaser may not alter, obscure, or remove product warnings, instructions, labels, notices, trademarks, or branding.

  6. The purchaser must provide end users with all safety warnings and instructions supplied by MTS.

  7. The purchaser may not make a warranty, representation, certification, or performance claim on behalf of MTS without MTS's written authorization.

  8. The purchaser may not hold itself out as an employee, agent, partner, franchisee, or legal representative of MTS.

  9. The purchaser is responsible for its employees, contractors, sales channels, advertisements, customer communications, and compliance with applicable law.

  10. MTS may suspend or terminate dealer status or refuse future orders for violations of these Terms or another applicable agreement.

A signed dealer agreement, accepted quote, or MTS-issued invoice controls over these Terms to the extent of a direct conflict. Additional or conflicting terms contained in a purchaser's purchase order, portal, acknowledgment, or other document do not bind MTS unless expressly accepted in a writing signed by an authorized MTS representative.

Authorized resale does not transfer ownership of MTS intellectual property or grant a right to manufacture, reproduce, reverse engineer, or create derivative products.

14. International Orders

MTS may accept or reject international orders at its discretion.

Unless otherwise stated in writing, the customer is the importer of record and is responsible for:

  1. Import eligibility.

  2. Customs clearance.

  3. Duties, tariffs, taxes, brokerage fees, and carrier charges.

  4. Local product, labeling, consumer, firearm, and training laws.

  5. Any permit, registration, or government approval required in the destination country.

  6. Additional costs resulting from refusal, abandonment, return, seizure, or destruction by customs or another authority.

MTS does not guarantee that a product may lawfully be imported, possessed, resold, or used in every jurisdiction.

Any mandatory consumer rights in the customer's jurisdiction that legally apply despite these Terms remain unaffected.

15. Intellectual Property

The Site, MTS brand, product concepts, product designs, trade dress, trademarks, logos, names, graphics, photographs, videos, text, instructions, packaging, digital files, CAD files, 3D models, and other materials are owned by or licensed to MTS and are protected by intellectual-property laws.

Except for the limited right to use a purchased physical product for its intended purpose, no ownership interest or intellectual-property license is transferred to you.

Without MTS's prior written permission, you may not:

  1. Copy, reproduce, manufacture, modify, or create derivative products based on an MTS product or design.

  2. Reverse engineer, scan, digitize, disassemble, mold, cast, trace, measure for reproduction, or create CAD or 3D models from an MTS product.

  3. Sell or distribute counterfeit, copied, or confusingly similar products.

  4. Remove or alter MTS trademarks, notices, branding, warnings, or product identifiers.

  5. Use MTS intellectual property to suggest sponsorship, endorsement, affiliation, or authorization.

  6. Scrape, harvest, copy, or commercially exploit Site content.

  7. Register or use a domain name, social-media identifier, company name, or product name that is confusingly similar to MTS branding.

An authorized dealer may use product photographs, descriptions, trademarks, and marketing materials supplied or approved by MTS solely to advertise and resell genuine MTS products during the period of authorization. MTS may revoke this permission at any time.

16. Prohibited Site Conduct

You may not:

  1. Interfere with the operation or security of the Site.

  2. Introduce malicious code, automated attacks, or harmful material.

  3. Attempt to access another user's account or restricted system.

  4. Use bots, scrapers, or automated purchasing systems without written authorization.

  5. Submit false, misleading, fraudulent, or unlawful information.

  6. Impersonate another person or entity.

  7. Violate another person's intellectual-property, privacy, publicity, or contractual rights.

  8. Use the Site or products to violate applicable law.

  9. Circumvent quantity restrictions, geographic restrictions, dealer requirements, or security measures.

17. Assumption of Risk

Handling firearms and conducting dry-fire training involve inherent risks, including negligent discharge, mistaken use of live ammunition, falls, impacts, property damage, hearing injury, eye injury, bodily injury, and death.

You voluntarily assume the risks arising from your decision to possess, handle, supervise, store, or use a firearm and from any failure to follow firearm-safety rules, product instructions, or these Terms.

You are responsible for selecting an appropriate training environment and obtaining competent professional instruction when needed.

Nothing in these Terms limits liability that cannot legally be limited.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MTS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, MANUFACTURERS, SUPPLIERS, FULFILLMENT PROVIDERS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF USE, BUSINESS INTERRUPTION, OR REPLACEMENT COSTS, ARISING FROM OR RELATED TO THE SITE, A PRODUCT, AN ORDER, SHIPPING, CUSTOMER ASSISTANCE, OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MTS ARISING FROM OR RELATED TO A PRODUCT, ORDER, OR THESE TERMS WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO MTS FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory asserted and even if MTS was advised that damages were possible.

These limitations do not apply to fraud, willful misconduct, gross negligence, personal injury, or any other liability to the extent that applicable law prohibits its exclusion or limitation.

Some jurisdictions do not permit certain warranty disclaimers or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

19. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless MTS and its owners, officers, employees, contractors, manufacturers, suppliers, fulfillment providers, agents, and affiliates from claims, liabilities, damages, judgments, losses, penalties, fines, costs, and reasonable attorneys' fees arising from or related to:

  1. Your violation of these Terms.

  2. Your unlawful, negligent, reckless, or improper use of the Site or an MTS product.

  3. Your handling, possession, storage, supervision, or use of a firearm.

  4. Your use of live ammunition or projectiles with an MTS product.

  5. Your alteration, reproduction, resale, marketing, or distribution of a product.

  6. Your violation of another person's rights.

  7. Information or content you submit.

  8. Conduct by anyone to whom you provide access to an MTS product.

This obligation does not apply to the extent a claim is caused by MTS's gross negligence, willful misconduct, or other conduct for which indemnification cannot lawfully be required.

20. Privacy and Electronic Communications

Information submitted to MTS is handled according to the Privacy Policy posted on the Site, as updated from time to time.

By placing an order, you consent to receive transactional communications electronically, including order confirmations, invoices, shipping notices, safety notices, delay notices, and customer-service messages.

You are responsible for maintaining a valid email address and reviewing communications sent by MTS.

You may retain these Terms by printing or saving a copy. Your electronic acceptance of these Terms has the same effect as a physical signature to the extent permitted by law.

Marketing communications are subject to any separate consent and opt-out rights provided during signup or required by law.

21. Mail Club and Future Subscriptions

Mail Club and any other recurring subscription program will be governed by additional subscription terms presented when the program becomes available.

Before charging a recurring fee, MTS will disclose the applicable price, billing frequency, renewal terms, trial or promotional period, cancellation method, and other material conditions and will obtain any consent required by applicable law.

These Terms alone do not authorize MTS to enroll a customer in or charge a customer for a recurring subscription.

If separate subscription terms conflict with these Terms regarding the subscription, the subscription terms will control.

22. Third-Party Services and Links

The Site may use or link to third-party payment processors, carriers, hosting platforms, social-media services, or other providers.

MTS does not control and is not responsible for the independent conduct, terms, security, availability, or privacy practices of third parties.

Your use of a third-party service may be governed by that provider's separate terms and policies.

23. Suspension and Termination

MTS may suspend or terminate access to the Site, cancel an account, revoke dealer authorization, or refuse future orders when MTS reasonably believes that a person has:

  1. Violated these Terms.

  2. Engaged in fraud, abuse, harassment, or unlawful activity.

  3. Created a safety, security, financial, reputational, or legal risk.

  4. Misused MTS products or intellectual property.

  5. Submitted unauthorized chargebacks or false claims.

Termination does not eliminate payment obligations, liabilities, or provisions that by their nature should survive termination.

24. Changes to These Terms

MTS may update these Terms from time to time.

The updated Terms will be posted with a revised effective date. Changes apply prospectively unless applicable law permits otherwise or you expressly agree to the change.

The Terms in effect when an order is placed will generally govern that order, except for later safety notices, legally required changes, or a separate written agreement.

25. Governing Law and Disputes

These Terms and any dispute arising from or related to the Site, an order, or an MTS product are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles.

Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute informally. A customer must send a written notice describing the dispute, relevant order number, requested resolution, and contact information to contact@modulartargetsystems.com.

If the dispute is not resolved within 30 days after receipt of the notice, either party may pursue available legal remedies.

Subject to any consumer right that cannot legally be waived, the parties agree that any lawsuit must be brought exclusively in a state court located in Greenville County, South Carolina, or in the United States District Court for the District of South Carolina, as jurisdiction permits.

Nothing in this section prevents either party from seeking emergency injunctive relief to protect intellectual property, confidential information, safety, or security.

If you are a consumer living in a jurisdiction whose mandatory law gives you rights that cannot be waived through a governing-law or venue provision, those rights remain unaffected.

26. Force Majeure

MTS is not liable for delay or failure caused by circumstances outside its reasonable control, including severe weather, natural disaster, fire, flood, epidemic, pandemic, war, terrorism, civil disorder, labor disruption, transportation interruption, supply shortage, utility failure, carrier failure, cyberattack, government action, or equipment failure.

This section does not eliminate any cancellation, notice, or refund obligation imposed by applicable law.

27. Miscellaneous

These Terms, together with any applicable Privacy Policy, product-specific instructions, accepted quote, invoice, dealer agreement, subscription terms, or other agreement expressly incorporated by reference, constitute the entire agreement between you and MTS concerning the applicable transaction.

If a signed written agreement conflicts with these Terms, the signed agreement controls to the extent of the conflict.

If any provision is found invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

MTS's failure to enforce a provision is not a waiver of its right to enforce that provision later.

You may not assign or transfer your rights or obligations under these Terms without MTS's prior written consent. MTS may assign these Terms in connection with a merger, acquisition, reorganization, asset sale, financing, or transfer of its business.

Section headings are for convenience and do not affect interpretation.

Provisions concerning safety, payment, final sales, warranty disclaimers, intellectual property, assumption of risk, limitation of liability, indemnification, governing law, and disputes survive termination or completion of an order.
